Terms of Use

Introduction

Welcome to Pythrust Technologies OPC Private Limited. These Terms of Use ("Terms") govern your access to and use of the Pythrust Technologies website, services, and applications (collectively, the "Service"). By accessing or using the Service, you signify that you have read, understood, and agree to be bound by these Terms and to the collection and use of your information as set forth in the Pythrust Technologies Privacy Policy, which is hereby incorporated by reference. These Terms affect your legal rights and obligations, so if you do not agree to be bound by all of these Terms, do not use the Service.


1. Eligibility

You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age.


2. Service Use

2.1 License to Use

Subject to these Terms, Pythrust Technologies grants you a non-transferable, non-exclusive, revocable, limited license to use and access the Service for your personal, non-commercial use.

2.2 Service Restrictions

You agree not to use the Service in any manner that:

  • Violates any national, state, local, or international law or regulation.
  • Infringes on the rights of others, including but not limited to intellectual property rights.
  • Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable.
  • Jeopardizes the security of your Pythrust Technologies account or anyone else's account (such as allowing someone else to log in to the Service as you).
  • Attempts, in any manner, to obtain the password, account, or other security information from any other user.

3. Intellectual Property Rights

3.1 Service Content

All rights, title, and interest in and to the Service (excluding User Content) are and will remain the exclusive property of Pythrust Technologies and its licensors, including but not limited to all software, functions, materials, and content provided through the Service. The Service is protected by copyright, trademark, and other laws of both India and foreign countries.

3.2 User Content

You retain your rights to any content you submit, post, or display on or through the Service. By submitting, posting, or displaying Content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such Content in any and all media or distribution methods (now known or later developed).


4. Account Security

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. Pythrust Technologies encourages you to use "strong" passwords with your account. Pythrust Technologies cannot and will not be liable for any loss or damage arising from your failure to comply with the above.


5. Disclaimers

Your access to and use of the Service or any content is at your own risk. You understand and agree that the Service is provided to you on an "AS IS" and "AS AVAILABLE" basis. Without limiting the foregoing, PYTHRUST TECHNOLOGIES AND ITS PARTNERS DISCLAIM ANY WARRANTIES, EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.


6. Limitation of Liability

To the maximum extent permitted by applicable law, Pythrust Technologies and its directors, employees, agents, partners, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; and (iii) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not Pythrust Technologies has been informed of the possibility of such damage.


7. Copyright Policy

Company respects the intellectual property of others and asks that users of our Site do the same. In connection with our Site, we have adopted and implemented a policy respecting copyright law that provides for the removal of any infringing materials and for the termination of users of our online Site who are repeated infringers of intellectual property rights, including copyrights. If you believe that one of our users is, through the use of our Site, unlawfully infringing the copyright(s) in a work, and wish to have the allegedly infringing material removed, the following information in the form of a written notification (pursuant to 17 U.S.C. § 512(c)) must be provided to our designated Copyright Agent:

  • Your physical or electronic signature;
  • Identification of the copyrighted work(s) that you claim to have been infringed;
  • Identification of the material on our services that you claim is infringing and that you request us to remove;
  • Sufficient information to permit us to locate such material;
  • Your address, telephone number, and e-mail address;
  • A statement that you have a good faith belief that use of the objectionable material is not authorized by the copyright owner, its agent, or under the law; and
  • A statement that the information in the notification is accurate, and under penalty of perjury, that you are either the owner of the copyright that has allegedly been infringed or that you are authorized to act on behalf of the copyright owner.

Please note that, pursuant to 17 U.S.C. § 512(f), any misrepresentation of material fact in a written notification automatically subjects the complaining party to liability for any damages, costs and attorney’s fees incurred by us in connection with the written notification and allegation of copyright infringement.


8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. You agree that any legal action or proceeding between you and Pythrust Technologies will be brought exclusively in the competent courts/tribunals having jurisdiction in Gurugram, Haryana, India.


9. General Terms

9.1 Modification

Pythrust Technologies reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by sending you an e-mail to the last e-mail address you provided to us and/or by prominently posting notice of the changes on our Site. You are responsible for providing us with your most current e-mail address. In the event that the last e-mail address you have provided us is not valid, our dispatch of the e-mail containing such notice will nonetheless constitute effective notice of the changes described in the notice. Any changes to these Terms will be effective upon the earliest of thirty (30) calendar days following our dispatch of an e-mail notice to you or thirty (30) calendar days following our posting of notice of the changes on our Site. These changes will be effective immediately for new users of our Site. Continued use of our Site following notice of such changes shall indicate your acknowledgment of such changes and agreement to be bound by the terms and conditions of such changes.

9.2 Dispute Resolution

Please read this Arbitration Agreement carefully. It is part of your contract with Company and affects your rights. It contains procedures for MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER.

All claims and disputes in connection with the Terms or the use of any product or service provided by the Company that cannot be resolved informally or in small claims court shall be resolved by binding arbitration on an individual basis under the terms of this Arbitration Agreement. Unless otherwise agreed to, all arbitration proceedings shall be held in English. This Arbitration Agreement applies to you and the Company, and to any subsidiaries, affiliates, agents, employees, predecessors in interest, successors, and assigns, as well as all authorized or unauthorized users or beneficiaries of services or goods provided under the Terms.

Before either party may seek arbitration, the party must first send to the other party a written Notice of Dispute describing the nature and basis of the claim or dispute, and the requested relief. A Notice to the Company should be sent to: 5th Floor, DLF Two Horizon Centre, Harizan Colony, DLF Phase 5, Sector 43, Gurugram, Haryana 122002. After the Notice is received, you and the Company may attempt to resolve the claim or dispute informally. If you and the Company do not resolve the claim or dispute within thirty (30) days after the Notice is received, either party may begin an arbitration proceeding.

9.3 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Pythrust Technologies regarding the use of the Service, superseding any prior agreements between you and Pythrust Technologies (including, but not limited to, any prior versions of the Terms).
